Terms of Service

Version 2026-10-24. Everyone accepts these terms and the Acceptable Use Policy in Admin: at sign-up, or on their next visit if they signed up earlier. Everyone also agrees to the Platform rules, and store owners confirm the Seller responsibilities notice and the Data Processing Terms for each store.

These terms are an agreement between you and Stonebridge Digital LLC, an Oregon limited liability company doing business as SBCommerce.net ("SBCommerce.net", "we", "us"). They cover your use of SBCommerce.net: the Admin at www.sbcommerce.net, the API at api.sbcommerce.net, hosted shops, and the related services (together, the "Service").

You accept these terms by ticking the box in Admin. They apply from then on, not to anything that happened before. Our Privacy Policy explains how we handle personal data.

The two Platform rules

Two rules come before everything else in these terms. You agree to them, in the Platform rules, when you create an account, and they apply to everyone who runs or builds your store, including developers and AI agents working for you.

  1. Everything must be legal. Your store, what it sells and how it sells must follow the law where you sell and where your buyers are: consumer protection, advertising, privacy, tax, intellectual property and trademarks, payment rules and accessibility.
  2. Everything must be honest. What your store says about your products, prices and business must be true and supported. No fake reviews, ratings, testimonials, awards or urgency, and no invented facts about you.

Store builders and AI agents follow the shorter list in the "Platform rules: mandatory" section of our Developer Guide (https://www.sbcommerce.net/agents.md). That list is what they check while they build; it isn't the whole law. The broader legal duties of running a shop, such as privacy, tax, consumer and payment-network rules, and accessibility law, are yours as the owner (section 3.3).

Stores are checked automatically when they ask to open Live and when a site is published, and reviewed by our team when flagged or reported. Anyone can report a store at www.sbcommerce.net/report. Breaking either rule can lead to the steps in section 8.

1. Who can use the Service

  • You must be at least 16. If you are under 18, or under the age of majority where you live, a parent or legal guardian must agree to these terms for you and is responsible for your use of the Service.
  • A store opens Live only once its owner confirms that they are 18 or older.
  • The Service is for running a business. If you accept these terms for a company, you confirm that you may bind it, and "you" means that company.
  • You must give accurate account details and keep them current.
  • Only people living in, and businesses based in, the countries we serve can open a store. The sign-up form lists them and tells you if your country isn't open yet; we may add countries. Russia, Belarus and the places in the next point are not on it. Staff you invite to your store may live elsewhere, except in those places. This limits who can run a store, not who can buy from one: shoppers anywhere can buy from your shop, wherever you choose to ship.
  • You may not use the Service if you live in, or run your business from, Cuba, Iran, North Korea, Syria, Crimea, or the parts of Ukraine's Donetsk and Luhansk regions outside its government's control, or if you or your business are named on a US sanctions or restricted-party list. We check this (see the privacy policy) and may refuse or suspend an account to follow sanctions law.

2. Your account

  • You are responsible for everything done through your account, your staff's accounts and your API keys.
  • Keep passwords and keys secret. Turn on two-step sign-in; a store owner can require it for all staff.
  • Tell us at once at security@sbcommerce.net or through Support in Admin if you think your account or a key has been misused.

3. Your store and your customers

3.1 We provide software only

  • You are the seller. For every sale on your store you are the merchant and seller of record. The contract of sale is between you and your customer. You set your prices and policies, and you are responsible for your products, descriptions, delivery, refunds and customer service.
  • What we are not. We provide store software. We don't sell, buy, resell or hold title to anything sold on your store. We are not a marketplace or a marketplace facilitator, and not your agent, payment facilitator, payment processor or money transmitter. We don't set your prices, take orders in our name, or handle your customers' payments.
  • Your name on your store. Your store must show buyers who sells: your legal business name, a postal address and a way to contact you. You must not present SBCommerce.net as the seller. The Service shows "Store software by SBCommerce.net" as a credit and, for a store whose business is in the EU, a "Report this store" link to our report form. You agree to keep them where we place them.

3.2 Payments go to you

  • Shoppers pay through payment providers you connect with your own accounts, such as Stripe, PayPal, a bank gateway, Creem or Dodo Payments, under that provider's terms. Your agreement with each provider is between you and them. We are not a party to it.
  • We never receive, hold or pass on your sales money. Sale funds go from your customer to your provider account. We don't collect them for you, take a cut of them, or pay them out to you.
  • Merchant of record. If you choose a merchant of record (such as Creem, Dodo Payments or Paddle), that provider, not us, is the seller of record for the orders it takes, under its own terms.

You alone are responsible for, and must decide with your own advisers:

  • Taxes: whether and where you must register, collect, report and remit sales tax, VAT, GST, customs and import duties (for example US state nexus, the EU One-Stop Shop and Import One-Stop Shop, and UK VAT), and your own income taxes;
  • Invoices and records the law asks of you;
  • Consumer law: withdrawal and cancellation rights (for example the EU 14-day right of withdrawal and the withdrawal button), refunds, returns and warranties;
  • Products: product safety, labelling, licences and permits, and what may be sold where you sell it;
  • Shipping: carriers, customs paperwork, export controls and sanctions;
  • Your customers' data: for it you are the controller and we are your processor, under the Data Processing Terms;
  • the legal pages your shop must show.

3.4 Tax and policy tools

The Service offers tools such as tax rates and rules, tax-inclusive prices and policy templates. They are provided "as is". They are not tax, legal or accounting advice, and we don't promise that any rate, rule or text is correct, complete or current for you. Check them before you rely on them.

3.5 Lawful requests

We may share information about a store, or limit or suspend it, when the law requires it or a court, tax authority or other public body lawfully asks. You agree to cooperate with such lawful requests about your store and your sales. Where the law allows, we will tell you first.

4. Your content

  • You keep all rights in the content you put in the Service: products, images, text, music, files and your shop's code ("Your Content").
  • You give us a worldwide, non-exclusive, royalty-free licence to host, copy, process, transmit and display Your Content only as needed to run, secure and improve the Service for you, and to show your shop to the public.
  • You confirm you have the rights to Your Content and that it doesn't break the law or the Acceptable Use Policy.
  • Copyright notices go to our designated DMCA agent: Stonebridge Digital LLC, Attn: DMCA Agent, 4274 NW Canary Pl, Corvallis, OR 97330-2270, USA; 541-231-5680; dmca@sbcommerce.net (also at www.sbcommerce.net/dmca). The Acceptable Use Policy (§4) explains how we handle them and when we end the accounts of repeat infringers.

5. Plans, fees and taxes

  • No fees are charged during the beta. The pricing page shows the plans we plan to offer.
  • Paid plans will have their own Plan terms and refund policy, which set out billing, renewals, cancellation and refunds. We will publish them, and give you at least 30 days' notice by email or in Admin, before any fee applies to your store. You accept the Plan terms when you choose a paid plan.

6. AI assistant

  • Admin may offer an optional assistant powered by a third-party AI model (Anthropic). Where it is offered, what you type, and the store data the assistant reads to answer, is sent to that provider to produce the answer.
  • The assistant is only for people 18 or older. Before first use, you confirm that you are 18 or older, and we keep a record of that confirmation.
  • The assistant explains how the Service works and gives general information. It does not give legal, tax, medical or investment advice; for those, ask a qualified professional.
  • Answers can be wrong. Check them before you rely on them, especially for prices, legal text and anything sent to customers.
  • Store owners and admins can run the assistant on their store's own Anthropic API key. Anthropic then bills them directly under their own agreement with Anthropic; we don't charge for that use, can't see or refund that bill, and our usage limits still apply. Without a key of its own, the assistant is not available to the store.
  • Use of the assistant and any AI app connected to your store must follow section 6 of the Acceptable Use Policy. For misuse, we may warn the store, suspend the assistant, or take the further steps in that policy.

7. Availability and changes

  • We work to keep the Service available but don't promise it will be uninterrupted or error-free. We make no uptime commitment.
  • We may change the Service. We will give at least 30 days' notice before removing a feature you rely on, unless the change is needed for security or by law.

8. Suspension and ending

  • You can close a store at any time, export its data, and ask for it to be deleted. A deleted store is removed for good 30 days after you ask, unless you reopen it first.
  • We may suspend a store, or end your access, if you seriously or repeatedly break these terms, the Acceptable Use Policy or the law, if you don't pay fees that are due, or if we must by law or are lawfully asked to (section 3.5). Where we can, we will tell you first and give you a chance to fix the problem and export your data.
  • Sections 3.3, 3.4, 4 (licence for already-published content, until removed), 9, 10, 11 and 12 survive the end of this agreement.

9. Disclaimers

The Service is provided "as is" and "as available". To the extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. Nothing in these terms limits rights you have as a consumer that the law says cannot be limited.

10. Limitation of liability

To the extent the law allows:

  • Neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, even if told they were possible.
  • Our total liability for all claims about the Service is limited to the greater of (a) the fees you paid us in the 12 months before the claim and (b) US $100.
  • These limits don't apply to liability that cannot be limited by law, such as for fraud, gross negligence or wilful misconduct.

11. Indemnity

You will defend and hold us harmless from third-party claims, including claims by customers and by tax and other authorities, arising from Your Content, your store, your products and sales, taxes on your sales, or your breach of these terms or the law, and pay the resulting costs, taxes, penalties and damages a court awards or you agree to. This doesn't apply to the extent a claim is caused by our breach of these terms or our negligence.

12. Law and disputes

  • These terms are governed by the laws of the State of Oregon, USA, without regard to its conflict-of-law rules.
  • The state and federal courts in Benton County, Oregon have exclusive jurisdiction, except that either party may seek urgent relief anywhere.
  • If you are a consumer, you also keep the protection of the mandatory laws of the country where you live, and may bring claims there.

13. Changes to these terms

We may update these terms. For changes that matter, we will tell you at least 30 days ahead by email or in Admin, and ask you to accept them. If you don't accept, you may stop using the Service and export your data.

14. Other

  • These terms, with the policies they name, are the whole agreement between us about the Service.
  • If a part is found unenforceable, the rest stays in effect.
  • Not enforcing a right is not a waiver of it.
  • You may not transfer this agreement without our consent; we may transfer it with our business.
  • Notices to us: Stonebridge Digital LLC, 4274 NW Canary Pl, Corvallis, OR 97330-2270, USA, at legal@sbcommerce.net or through Support in Admin.
